Terms and Conditions

All rights reserved. Any person or company undertaking the services of Delicious Webdesign Ltd agrees to the terms and conditions as laid out here.

Delicious Webdesign Ltd Terms and Conditions of Business

Definition of our terminology as used within this document:

  1. A ‘Project’ is any work undertaken or service provided by Delicious Webdesign Ltd for the Client on their request and as described in our confirmation order email to that Client.
  2. A ‘Client’ is a person, persons, business or organisation using any of the services provided by Delicious Webdesign Ltd .
  3. ‘Live Mode’ means the date the website is available on the Client’s chosen domain.
  4. ‘Domain’ is the website address as specified by the Client.
  5. ‘Open Source Software’ is software made freely available to anyone under the GNU General Public License (GPL).
  6. ‘Hosting’ is a yearly cost to keep a client’s website activated online.
  7. ‘Content’ is both text and images that the Client requires on the website.
  8. ‘MB’ stands for megabytes and is a measure of storage space.

Delicious Webdesign Ltd Terms & Conditions

The contract between Delicious Webdesign Ltd and the Client will be on these conditions, to the exclusion of all other terms and conditions. Any variations to these conditions shall have no effect unless agreed in writing.

1. Communication

  1. Email & WhatsApp are our main methods of communication; please keep your contact details up to date. We aim to respond within 3 working days.
  2. It is the Client’s responsibility to inform us of any change in email address so we always have up to date email contact details. Delicious Webdesign Ltd cannot be held liable in any way relating to communication issues if we are not supplied with a valid email address.
  3. Abusive or unreasonable behaviour will not be tolerated. We may restrict communication to email/postal mail or terminate the contract without refund. All telephone and mobile calls are recorded.

2. Payment

  1. A 50% non-refundable deposit is required to confirm the start of your project. A further 25% due upon homepage approval, then 25% upon completion.
  2. Projects will only be put live once the full payment has been received.
  3. Late or missed payments may result in termination of your project without refund (unless an alternative plan has been specifically agreed in writing).
  4. Additional revisions after second payment can incur extra charges.

3. Client Responsibilities

  1. You are responsible for ensuring your website, idea, or business is legal.
  2. You must stay in contact during the project. If we cannot reach you after 2 weeks and 3 attempts, we may terminate the project. A fee will apply if you later restart.
  3. You are responsible for ensuring any content or images you provide comply with copyright law.

4. Intellectual Property & Images

  1. We retain ownership of all website code, design, and content until full payment is received.
  2. Once paid, ownership transfers to you, except for:

    • Open Source software (not owned by either party).

    • Third-party licensed software, which must be re-licensed if hosting is transferred.

    • Stock images purchased by us (licensed only for use while hosted with us).

  3. If hosting is moved elsewhere, stock images purchased by us will be removed and must be re-purchased by you.

5. Hosting, Domains & Email

  1. Standard hosting includes 1GB of email space unless agreed otherwise.

  2. Our service is extermely reliable but cannot guarantee 100% uptime.

  3. Hosting and domain renewals are billed every 2 years. Non-payment may result in suspension or release of the website/domain.

  4. Transfers to another provider incur an admin fee. Domain codes (EPP/IPS), backups, and emails can be provided once fees are paid.

  5. Licensed plugins/software will be deactivated before transfer; you must obtain your own licences.

  6. Full CMS/admin access is not provided for hosted sites. Clients may be given content-editing roles (e.g., Editor, Shop Manager).

  7. If third-party developers are given admin access without our consent, you accept responsibility for any issues. We may refuse to provide support or cancel hosting in this case.

6. SEO & Performance

  1. We do not guarantee specific search engine rankings.
  2. Ranking may change due to updates, downtime or changes beyond our control.

7. Deadlines

  1. We may provide an estimated completion date for website projects but cannot guarantee delivery by a specific date.

8. Portfolio Use

  1. We may display your project in our portfolio, website, or social media.

  2. If you wish to opt out, this must be agreed in writing before the project begins.

  3. We will include a discreet link in your website footer crediting Delicious Webdesign Ltd.

9. Liability

  1. We are not responsible for loss of business, sales, or reputation arising from use of our services.

  2. Our liability is limited to the total fees paid for the project.

  3. We are not responsible for loss, corruption, or damage to files hosted on our servers.

  4. We cannot be held liable for third-party issues such as hosting outages, domain registrar failures, or force majeure events.

  5. While we may provide advice or opinions on technical, marketing, or business matters outside our core services, this is informal guidance only. We accept no responsibility or liability for any decisions or outcomes resulting from such advice.

10. Terminations & Cancellations

  1. Either party may terminate with a 30 days’ written notice (Cancellation will not be accepted within 30 days of renewal)
  2. If you fail to make payments, cease communication (see 3.2), or breach conduct rules, we may terminate immediately without refund.
  3. Transfer to another provider requires 30 days notice and payment of relevant admin fees.

11. Governing Law

  1. These Terms & Conditions are governed by the laws of England and Wales.

  2. Any disputes will be handled exclusively by the courts of England and Wales.

 

 

Intellectual Property (IP)

The client will not hold Delicious Webdesign Ltd responsible for any infringement of copyright relating to text or images and photographs contained within designs. It is the sole responsibility of the client to ensure that no copyright infringement will occur in the use of their company name. Refunds will not be made in cases of such copyright infringement.

We ensure that we take every precaution to ensure that the designs we use are original and do not infringe upon any existing trademarked design. Should this unlikely event occur then the limit of our liability will be a proportional price related to the website package purchased, i.e. the client will be offered a partial refund related to their initial purchase. Unapproved website designs shall remain the copyright of Delicious Webdesign Ltd and may not be copied, sold, reproduced without the company’s specific written permission.

Delicious Webdesign Ltd reserves the right to reproduce any of its text and artwork, including approved web sites, for promotional purposes.

Payment

Once work is completed by Delicious Webdesign Ltd the full and correct payment as stated in the final invoice must be made and received by Delicious Webdesign Ltd within 7 days of the invoice date. The invoice is normally issued the day the work is completed and signed off.

Normally a 50% non-refundable deposit is required prior to commencement of work. For clients that are unknown and new to Delicious Webdesign Ltd and overseas companies, Delicious Webdesign Ltd reserves the right to invoice with a payable on receipt of the Invoice.

Only in very special circumstances will a smaller deposit be accepted before work commences.

Under the terms of the Late Payment of Commercial Debts (Interest) Act 1998, Delicious Webdesign Ltd we are entitled to levy interest as well as a fee for late payment compensation on overdue debts. The Late Payment Fee is currently levied at £250.00

Please be aware that, non-payment to the agreed terms will affect your credit rating adversely

In the event of payments being received for work completed after the 7-day invoice date period .payments will be credited first to late payment charges & next to the unpaid balance. The Client shall be solely responsible for all collection and/or legal fees necessitated by late or defaults of payment.

Delicious Webdesign Ltd reserves the right to put a website live or withhold delivery and transfer ownership of a website or of any work if accounts are not current or overdue invoices are not paid 100% in full.

All grants of any license to use or transfer of ownership of any intellectual property rights under this Agreement are conditioned upon receipt of payment in full which shall be inclusive of any & all outstanding Additional Costs, Taxes, Expenses, & Fees, Charges or the costs of Changes.

Design Process

Clients may request website revisions providing they give clear and concise feedback and that the process converges.

Website Approval

The design process will terminate when the client gives final approval of a website. This will normally be done using the review form or by email.

All liabilities for errors, changes, or alterations become the responsibility of the client, once a design has been approved.

On completion of the design process, the ownership and copyright of the final website are automatically transferred to the client’s name. The client will not have full access to the database/code (software) unless that is requested and the standard charges are applied.

Credit Checks

Delicious Webdesign Ltd reserves the right to verify the credit rating of any individual person or company using Delicious Webdesign Services. Their Credit information that is discovered could well result in clients being asked to pay the full amount for the work required prior to commencement or they may be required to pay a higher percentage deposit to what was previously decided.

Post-Approval Alterations

After the website or project is completed then further revisions can be made to the website or project and will be charged at a rate of £35 per hour (with a minimum of half an hour). The client will be sent an invoice via email once the agreed post-completion revision is completed.
